Welcome to PinoyCode I.T. System HRIS & Payroll System (“we,” “our,” “us,” or the “Service”).
By accessing, registering for, or using our website, HRIS platform, or payroll services, you agree to comply with and be bound by these Terms & Conditions (“Terms”).

If you do not agree with these Terms, please do not use our Service.

1. Definitions

* HRIS & Payroll System: The cloud-based platform, web application, and related tools provided by PinoyCode I.T. Services.
* User/Client: Any company, administrator, HR staff, or employee accessing the platform.
* Data: Any HR, payroll, or personal information entered, uploaded, or processed within the platform.

2. Eligibility

You must be:
* At least 18 years of age.
* Authorized to act on behalf of your organization to enter into agreements and provide employee information for processing.

3. Account Registration & Security

* You are responsible for maintaining the confidentiality of your login credentials.
* You must immediately notify us of unauthorized use of your account.
* You are responsible for all actions taken through your account until you report unauthorized access.

4. Use of Service

You agree to use the Service only for lawful HR and payroll purposes, including but not limited to:

* Managing employee records, payroll processing, tax reporting, and compliance.
* Accessing and reviewing your employees’ information for legitimate business reasons.

You agree not to:

* Use the Service to transmit malicious code, spam, or unlawful content.
* Share login credentials outside of authorized personnel.
* Reverse engineer, copy, or exploit the Service for competitive purposes.

5. Data Privacy & Security

We are committed to protecting your data.

* All personal and payroll data is processed in accordance with our \[Privacy Policy].
* We use encryption, secure hosting, and regular backups to protect your information.
* You retain ownership of your data and grant us permission to process it for HR/payroll purposes only.

6. Payroll Accuracy & Compliance

While we strive to ensure accurate calculations, you remain responsible for reviewing and approving payroll before disbursement.

* Tax filings and compliance reports are generated based on the data you provide.
* We are not liable for penalties, interest, or damages caused by inaccurate or incomplete data submissions.

7. Subscription & Payment

* The Service is provided on a subscription basis, billed monthly or annually as per your plan.
* Late payments may result in temporary suspension of access until payment is received.
* Fees are non-refundable unless required by law or explicitly stated otherwise.

8. Intellectual Property

* All software, features, designs, logos, and documentation remain our exclusive property.
* You are granted a limited, non-exclusive license to use the Service for your organization’s internal HR and payroll purposes.

9. Service Availability

We strive for 99% uptime but do not guarantee uninterrupted service.

* We may temporarily suspend access for scheduled maintenance or unexpected outages.
* We will make reasonable efforts to notify you in advance of planned downtime.

10. Limitation of Liability

To the maximum extent permitted by law:

* We are not responsible for indirect, incidental, or consequential damages.
* Our total liability in connection with the Service will not exceed the amount you paid for the Service in the last 12 months.

11. Termination

* You may terminate your subscription at any time by contacting us.
* We may terminate or suspend your account for violation of these Terms or unlawful use.
* Upon termination, you may request an export of your data within 30 days.

12. Modifications

We may update these Terms periodically.

* We will notify you of significant changes via email or platform notice.
* Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

13. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

In case of any dispute, claim, or legal action arising from or related to the use of the HRIS & Payroll System, you agree that such matters shall be filed exclusively with the proper courts of Bulacan, Philippines, to the exclusion of all other venues.
