System Acceptance & Subscription Confirmation Agreement

This Acceptance Agreement is made on [Date], by and between:
Service Provider:
PinoyCode I.T. Services, hereinafter referred to as the “Provider”
and
Client:
[_______________________________], hereinafter referred to as the “Client.”

  1. Background
    1 The Provider granted the Client a one (1) month free trial access to the HRIS & Payroll System for evaluation purposes.
    1.2 During the trial period, the Client was given the opportunity to:
    * Review system features
    * Test payroll computation
    * Validate workflows
    * Assess suitability for operational use
    1.3 The system configuration during the trial reflects the Basic Account package, including its standard features and limitations.
  1. Client Acceptance
    By signing this Agreement, the Client confirms that:
    ✔ The system has been demonstrated and tested during the trial period
    ✔ The Client understands the scope, features, and limitations of the subscribed package
    ✔ The system, in its standard configuration, is acceptable for operational use
    ✔ No unresolved system defects preventing basic operation have been formally reported in writing prior to subscription
  1. Scope of Service
    3.1 The subscription covers only the features included in the selected service package.
    3.2 The Client acknowledges that the following are not included unless separately agreed in writing:
    * Custom payroll formulas outside system standards
    * Special company-specific rules
    * Advanced automation or reports
    * System modifications beyond standard configuration

Such requests shall be treated as customization services subject to separate quotation, approval, and fees.

  1. Payroll Computation Responsibility
    4.1 The system provides payroll calculations based on:
    * Data entered by the Client
    * Approved configurations
    * Government standard settings where applicable
    4.2 The Provider is not responsible for errors resulting from:
    * Incorrect employee data
    * Wrong configuration inputs
    * Late or incomplete information
    * Client-specific policies not part of standard system rules
  1. Go-Live & Subscription Confirmation
    5.1 The Client confirms readiness to proceed with paid subscription effective [Start Date].
    5.2 Go-live timelines depend on:
    * Completion of required data submission
    * Configuration approvals
    * Client participation in testing
  1. Post-Acceptance Support
    After acceptance:
    * Issues classified as system defects will be handled under support terms
    * Requests outside scope will follow change request/customization process
    * Subscription fees remain payable as agreed in the Service Agreement
  1. No Retroactive Claims
    The Client agrees that concerns relating to system functionality that were observable during the trial period cannot be treated as service failure after subscription unless formally raised and documented during the trial.
  1. Termination, Implementation Fee, and Refund Policy
    8.1 Free Implementation Condition
    Implementation, onboarding, system setup, and initial configuration services for the Basic Account and Regular Account are provided free of charge as part of the subscription, provided the Agreement continues for its intended term. These services have an equivalent service value of Thirty-Five Thousand Pesos (PHP 35,000.00).
    8.2 Termination by Client
    If the Client terminates the Agreement for convenience or for reasons not attributable to a material system defect by the Provider:
    • The waived implementation fee of PHP 35,000.00 shall become immediately due and payable; and
    • The Provider may deduct this amount from any refundable balance.
    8.3 Refund of Unused Subscription
    After deduction of the implementation fee and any other outstanding charges:
    • Unused prepaid subscription fees for future service periods shall be refunded on a pro-rated basis.
    • Refund does not include:
    o Implementation services
    o Customization services
    o Training services already rendered
    o Third-party costs, if any

    Refunds shall be processed within [15–30] business days from formal termination confirmation.
    8.4 No Refund Cases
    No refund shall apply if termination results from:
    • Client breach of contract
    • Misuse of the system
    • Failure to provide required data or cooperation
    • Non-payment of dues
  1. Entire Understanding
    This document confirms the Client’s acceptance of the system following the trial and forms part of the Subscription Agreement.
